Purchase agreement and research-use terms
These Terms and Conditions (“Terms”) govern your access to and purchases from novaqresearch.com, operated by NOVA Q Biosciences, DBA NOVA Q Research (“NOVA Q,” “we,” “us,” or “our”). By accessing the site, creating an account, or placing an order, you (“Buyer”) agree to these Terms and to our Privacy Policy and Refund and Shipping Policies, which are incorporated by reference. If you do not agree, do not use the site or purchase from us.
As used here, “Materials” means any product or service you purchase or obtain from NOVA Q, including peptides, proteins, reference compounds, liquids, powders, chemicals, labware, and related items.
1. Research use only
All Materials on this site are supplied strictly for laboratory and scientific research and development use only. Materials are not for human or animal consumption of any kind, and must not be ingested, injected, inhaled, applied, or otherwise administered to humans or animals. Materials are not drugs, foods, dietary or nutritional supplements, cosmetics, or medical devices.
2. No medical or regulatory claims
The statements made on this website have not been evaluated by the U.S. Food and Drug Administration. Materials and the information provided about them are not intended to diagnose, treat, cure, or prevent any disease or health condition. Information on the site is provided for general scientific and educational reference only and is not medical, clinical, or professional advice.
3. Nature of our business
NOVA Q is a supplier of research-use-only reference materials. NOVA Q is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, and is not an outsourcing facility as defined under Section 503B of that Act. Materials are sold for research, laboratory, or analytical purposes only. Research use does not include any clinical, diagnostic, in vitro diagnostic, or human-subject research, nor any use in foods, drugs, medical devices, or cosmetics for humans or animals.
4. Eligibility and qualified buyers
You must be at least 21 years of age and have the legal capacity to enter into this agreement to purchase Materials. Materials are intended for qualified professionals and researchers with the training and facilities to handle them safely. We reserve the right to request information to verify intended research use, and to limit or decline sales to any person we determine is not a qualified buyer. Materials are not approved by any athletic commission and are not intended for use by competitive athletes.
5. Assumption of risk and safe handling
Buyer acknowledges that hazards may be associated with the handling and use of Materials. Buyer represents and warrants that, from Buyer’s own independent review, Buyer is knowledgeable about the health and safety hazards associated with the Materials purchased, the industrial hygiene controls needed to protect personnel, the need to warn of those hazards, and applicable government regulations regarding use of and exposure to the Materials. Buyer assumes full responsibility for the safe handling, storage, testing, and lawful use of all Materials, and has the duty to warn Buyer’s personnel and any handlers of associated risks.
6. Compliance with law
Buyer is solely responsible for compliance with all applicable federal, state, and local laws and regulations governing the purchase, possession, handling, and use of the Materials, including the Federal Food, Drug, and Cosmetic Act. Because Materials are supplied primarily for research, they may not appear on the Toxic Substances Control Act (TSCA) inventory, and Buyer assumes responsibility to confirm that Materials are approved for use under TSCA where applicable.
7. No resale, no export, internal research only
Purchase conveys a limited, non-transferable right to use the purchased Materials solely for Buyer’s own internal research. No right to resell, repackage, relabel, or use the Materials as a starting material or component of other products is granted, whether expressly, by implication, or by estoppel. Buyer will not export the Materials. Materials are not for use in commercial applications, including quality control or commercial services performed for a fee. If Buyer intends to provide any Material to a third party, Buyer must first document that party and obtain NOVA Q’s express written approval.
8. Testing and non-adulteration
Buyer acknowledges that Materials have not been tested by NOVA Q for safety or efficacy in food, drug, medical device, cosmetic, or any commercial use. Buyer represents and warrants that Buyer will properly test and use any Material in accordance with the practices of a reasonable expert in the relevant scientific field and in strict compliance with all applicable laws. Buyer further warrants that no product produced with the Materials will be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act.
9. Disclaimer of warranties
Except for any limited product documentation guarantee expressly stated by NOVA Q, the Materials and all site information are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. NOVA Q does not warrant that use or sale of the Materials will not infringe any patent, and listing of a Material does not constitute a license or recommendation for any use that would infringe a patent.
10. Limitation of liability
To the fullest extent permitted by law, NOVA Q and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, whether Buyer’s claim is based in contract, negligence, strict liability, or otherwise. NOVA Q’s total liability arising out of or relating to any Material or these Terms will not exceed the amount Buyer paid for the Material giving rise to the claim.
11. Indemnification
In consideration of the sale, Buyer agrees to indemnify, defend, and hold harmless NOVA Q and its affiliates from all claims, expenses, losses, and liabilities of any nature arising out of Buyer’s handling, storage, or use of any Material, whether used alone or in combination with any other substance, or arising out of Buyer’s breach of these Terms.
12. Order acceptance, pricing, and payment
Your receipt of an order confirmation does not signify our acceptance of your order. NOVA Q reserves the right, after receiving your order, to accept or decline it for any reason, or to supply less than the quantity ordered. Prices are subject to change without notice. We accept major credit cards; card purchases will appear on your statement under the NOVA Q Research billing descriptor, and a card processing fee may be added where disclosed at checkout. Please provide the exact billing address and phone number on file with your card issuer, as incorrect information may delay processing. Buyer is responsible for any applicable taxes.
13. Typographical errors and out-of-stock items
If a Material is listed at an incorrect price or with incorrect information due to a typographical or supplier error, NOVA Q may refuse or cancel any order placed at the incorrect price, whether or not the order has been confirmed and your card charged, and will refund any amount charged for a canceled order. If an ordered item is out of stock, we will inform you and ship it when it becomes available, or you may cancel the affected item prior to shipment.
14. SMS terms
By opting in to SMS, you agree to receive recurring automated marketing and informational text messages from NOVA Q at the number provided. Consent is not a condition of purchase. Message and data rates may apply, and message frequency varies. Reply STOP to cancel or HELP for help, or contact [email protected]. NOVA Q is not responsible for delayed or undelivered messages. Your use of SMS is also subject to our Privacy Policy.
15. Intellectual property
All content on this site, including text, design, logos, graphics, icons, images, and their selection and arrangement, is the property of NOVA Q or its licensors and is protected by copyright, trademark, and other laws. You may use site content only to shop or place an order. No content may be copied, reproduced, modified, republished, or distributed in any form without our prior written permission. Unauthorized use may violate applicable law.
16. Third-party links and site availability
The site may link to third-party sites that we do not control and are not responsible for. We do not guarantee that the site will be uninterrupted or error-free and are not liable for downtime or errors.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your purchase will be resolved by binding arbitration administered under the rules of a recognized arbitration provider, on an individual basis. You and NOVA Q waive any right to a jury trial and any right to participate in a class or representative action. To the extent a claim proceeds in court, venue lies in the state or federal courts located in Natrona County, Wyoming, and the prevailing party may recover reasonable attorneys’ fees and costs where permitted by law. Any claim must be brought within one year after it arises.
18. Changes to these Terms
These conditions supersede any terms you may include with a purchase order. NOVA Q may modify the site and these Terms at any time; changes are effective when posted, and your continued use constitutes acceptance.
19. General
These Terms, together with the Privacy Policy and the Refund and Shipping Policies, are the entire agreement between you and NOVA Q regarding your purchases and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. Headings are for reference only. Neither party is liable for events beyond its reasonable control.
