This Affiliate Program Agreement (“Agreement”) is entered into between NOVA Q Biosciences, DBA NOVA Q Research (“NOVA Q,” “we,” “us,” or “our”), 159 N. Wolcott St, Casper, WY 82601, and the person or entity enrolling as an affiliate (“Affiliate,” “you”). By enrolling, receiving a referral link or coupon code, or accepting any commission, you agree to this Agreement, to our Terms and Conditions, and to our Privacy Policy, each incorporated by reference.
1. The program
We operate a research-use-only reference-materials store. The affiliate program pays you a commission when a qualified purchase is made through your unique referral link or coupon code, subject to the terms below. Nothing in this Agreement creates an employment, partnership, agency, or joint-venture relationship. You are an independent contractor responsible for your own taxes.
2. Eligibility
You must be at least 21 years old and legally able to enter this Agreement. We may approve or decline any application, and may suspend or terminate any affiliate, at our discretion. You may not enroll if doing so would violate any law or any platform’s rules.
3. Research-use-only compliance — mandatory
This section is the core condition of participation. Our Materials are supplied strictly for laboratory research use only. They are not for human or veterinary use. As a condition of every commission, you agree that in all promotion of NOVA Q:
- You will present the Materials as research-use-only and include the notice “For research use only. Not for human or veterinary use.” wherever you promote them.
- You will not make or imply any statement about human or animal use, dosing, reconstitution, or administration.
- You will not make or imply any medical, therapeutic, disease-treatment, diagnostic, recovery, anti-aging, weight-loss, bodybuilding, athletic, or human-performance claim, and will not use before-and-after imagery or testimonials that imply personal use of the Materials.
- You will use only the product names, descriptions, claims, and creative that NOVA Q has approved in writing. You will not invent claims or modify approved copy in a way that changes its meaning.
- You will comply with the Federal Food, Drug, and Cosmetic Act, FTC advertising rules, and all other applicable laws.
Any breach of this Section is a material breach. It results in immediate termination and forfeiture of all unpaid commissions, in addition to any other remedy available to us.
4. FTC disclosure
You must clearly and conspicuously disclose your paid relationship with NOVA Q in every promotion (for example, “I earn a commission on purchases made through my link”). Disclosures must follow current FTC endorsement guidance and be placed where a reader will see them before acting.
5. Promotional conduct — prohibited practices
You will not: bid on or use NOVA Q trademarks or brand terms (including common misspellings) in paid search; represent yourself as NOVA Q or as an official account; send spam or unsolicited messages; post codes to coupon-aggregator or cashback sites without our written permission; use cookie stuffing, forced clicks, iframes, or any technique that generates referrals a customer did not intend; offer unauthorized rebates funded by your commission; or promote NOVA Q alongside content that is unlawful, sexually explicit, hateful, or otherwise harmful to the brand. We may add prohibited practices on notice.
6. Commissions
- Commission is a percentage of the net product value of a qualifying order (product subtotal after any discount, excluding shipping, taxes, and gift cards), at the rate stated in your enrollment.
- A qualifying order is placed through your active referral link (within the attribution window) or your assigned coupon code, is paid in full, and is not canceled, refunded, or charged back.
- Commissions are pending until the applicable refund and chargeback window has passed, after which they become approved and payable. Refunded, canceled, or fraudulent orders earn no commission, and any commission already credited for such an order is reversed.
- You earn no commission on your own purchases or on orders you procure through prohibited practices.
- We may modify commission rates and program terms prospectively on reasonable notice.
7. Payments
Approved commissions are paid monthly by PayPal to the account you provide, net of the refund window, once your approved balance reaches the minimum threshold (US$50). You are responsible for providing accurate payment details and required tax forms (a Form W-9 for US persons, or a Form W-8BEN for non-US persons) before your first payout. We will issue a Form 1099-NEC where required by law. Unclaimed or undeliverable balances may be forfeited as permitted by law.
8. Fraud and audit
We may withhold, delay, or reverse any commission we reasonably believe results from fraud, error, self-referral, or violation of this Agreement, and may review your traffic and referrals to verify compliance. Our determination of a qualifying order is final.
9. Intellectual property and license
We grant you a limited, revocable, non-exclusive, non-transferable license to use our approved names, logos, and creative solely to promote NOVA Q under this Agreement. You acquire no other rights. All goodwill from your use inures to NOVA Q. You will not register any domain, social handle, or trademark containing our marks.
10. Term and termination
Either party may terminate this Agreement at any time, with or without cause, on written notice (email is sufficient). On termination, your links and codes are deactivated, and any commissions not yet approved are forfeited except where prohibited by law. Sections 3, 5, 8, 11, 12, and 13 survive termination.
11. Disclaimers and limitation of liability
The program is provided “as is.” To the fullest extent permitted by law, NOVA Q disclaims all warranties and will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability under this Agreement will not exceed the total commissions paid to you in the six months before the event giving rise to the claim.
12. Indemnification
You will indemnify, defend, and hold harmless NOVA Q and its affiliates from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your promotional activities, your content, or your breach of this Agreement, including any breach of Section 3.
13. Governing law and disputes
This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute will be resolved by binding individual arbitration, and you and NOVA Q waive any right to a jury trial or to participate in a class action, consistent with the dispute-resolution terms of our Terms and Conditions. Venue for any court proceeding lies in Natrona County, Wyoming.
14. General
We may modify this Agreement on notice; continued participation constitutes acceptance. This Agreement, with the documents it incorporates, is the entire agreement between us regarding the program. If any provision is unenforceable, the rest remains in effect. You may not assign this Agreement; we may.
